These Terms of Service (“Terms”) govern your access to and use of the Excelvance AI website, platform, and services (collectively, the “Service”) operated by Excelvance (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

“Client” or “you” refers to the entity or individual accessing or using the Service. “Platform” refers to the Excelvance AI lead-orchestration and data enrichment engine, including all tiers of service (Tier 1: Speed-to-Lead, Tier 2: CRM/Calendar Core, Tier 3: Full Lead OS). “User Data” refers to any data, documents, lead records, CRM entries, or other information submitted to or processed by the Platform on your behalf. “BYOK” refers to Bring Your Own Key encryption architecture where encryption keys are created and stored within the Client’s own cloud KMS or HSM environment.

2. Eligibility

The Service is designed for business use. By using the Service, you represent that you are at least 18 years old, have the authority to bind the entity you represent, and that your use complies with all applicable laws and regulations.

3. Account Registration

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

4. Description of Service

Excelvance AI provides a unified inbound-lead-orchestration and outbound-intent GTM engine. The Service may include:

  • Real-time inbound lead capture, enrichment, scoring, and routing

  • DAG-based enrichment workflows with trigger-column refresh architecture

  • Automated firmographic, technographic, and KYB corporate-registry verification

  • Beneficial ownership (UBO) mapping

  • BYOK encryption for enterprise compliance

  • In-VPC PII-masking gateway with deterministic tokenization

  • Zero Data Retention (ZDR) processing

  • Multi-agent AI-SDR capabilities with human-in-the-loop controls

  • CRM and ERP integrations via connector workers and bulk/batch APIs

The specific features available to you depend on your service tier and subscription agreement.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation

  • Transmit any malicious code, viruses, or harmful components through the Service

  • Attempt to gain unauthorized access to the Platform, other accounts, or connected systems

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Use the Service to send unsolicited communications in violation of applicable anti-spam laws

  • Resell, sublicense, or redistribute the Service without our prior written consent

  • Submit data that you do not have the legal right to process or transmit

  • Interfere with or disrupt the integrity or performance of the Service

6. Data Processing and Security

Excelvance processes User Data in accordance with the security architecture described in our Privacy Policy and applicable service agreements. Key commitments include: Zero Data Retention (ZDR): All prompts, contexts, and AI outputs are processed strictly in memory. Once a request completes, memory is flushed. No request or response bodies are stored in logs. Tenant Isolation: Multi-tenant operations enforce strict tenant isolation via authenticated JWT claims and payload-level tenant identifiers. BYOK Architecture: For Tier 2 and Tier 3 Clients, encryption keys remain within the Client’s own cloud KMS or HSM boundary. Excelvance accesses only key references via envelope encryption. Raw key material never leaves the Client’s environment. PII Masking: Tier 3 deploys a local, stateless redaction gateway inside the Client’s network perimeter (VPC or on-prem DMZ) to mask personally identifiable information before any AI processing occurs.

7. Intellectual Property

All rights, title, and interest in the Service, including all software, algorithms, models, documentation, branding, and proprietary technology, are and remain the exclusive property of Excelvance. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein. You retain all rights to your User Data. By submitting User Data to the Service, you grant Excelvance a limited, non-exclusive license to process that data solely to provide and improve the Service. We do not use your data to train AI models.

8. Third-Party Integrations

The Service may integrate with third-party platforms including CRM systems, enrichment APIs, corporate registries, and calendar services. Your use of these integrations is subject to the respective third-party terms and privacy policies. Excelvance is not responsible for the availability, accuracy, or practices of third-party services.

9. Service Availability and SLAs

We aim to provide reliable, continuous access to the Service. Specific service level commitments, including uptime guarantees and latency budgets, are defined in your individual service agreement. We reserve the right to perform maintenance, updates, and modifications to the Service with reasonable notice.

10. Fees and Payment

Pricing is determined on a per-client basis. Fees, payment terms, billing cycles, and refund policies are outlined in your individual service agreement or order form. We reserve the right to modify pricing with 30 days written notice.

11. Confidentiality

Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information includes pricing, product roadmaps, technical specifications, customer data, and business strategies disclosed during the course of the relationship.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCELVANCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Enrichment data sourced from third-party registries and APIs is provided without guarantee of accuracy or completeness.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCELVANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Excelvance in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Excelvance and its founders, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Term and Termination

These Terms remain in effect as long as you use the Service. We may suspend or terminate your access at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7, 11, 12, 13, 14, and 17) will survive.

16. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from these Terms shall be resolved exclusively in the courts of Munich, Germany, unless otherwise agreed in writing.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any applicable service agreement or order form, constitute the entire agreement between you and Excelvance regarding the Service.
